Official Terms of Use for the Choplife Studio transcript issuing platform (TRM)

Chop Life Technologies LTD (trading as Choplife Studio)

1. INTRODUCTION

These Terms of Use govern your access to and use of the transcript issuing platform (the "Platform") operated by Chop Life Technologies LTD, trading as Choplife Studio ("we," "us," or "our"). The Platform enables Nigerian universities to manage and issue official transcripts to their graduates.

By accessing or using our Platform, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Platform.

2. DEFINITIONS

  • "Platform" refers to the transcript issuing system operated by Choplife Studio.
  • "University" refers to any Nigerian higher education institution that has registered to use the Platform.
  • "Student" refers to any individual who is or was enrolled at a participating University.
  • "Transcript" refers to the official academic record of a Student issued through the Platform.
  • "User" refers to any person who accesses the Platform, including representatives of Universities and Students.

3. REGISTRATION AND ACCOUNTS

3.1 University Registration

Universities must provide accurate and complete information during registration, including official contact details ( email, phone number) and designated administrator information. Universities are responsible for maintaining the confidentiality of their login credentials.

3.2 Access to Student Records

By registering, Universities confirm they have the legal right to share student data with us for the purpose of transcript issuance and warrant that such sharing complies with all applicable data protection laws in Nigeria.

3.3 Account Termination

We reserve the right to suspend or terminate University accounts if we determine, in our sole discretion, that a University has violated these Terms, provided false information, or engaged in any unauthorized use of the Platform.

4. SERVICES AND PRICING

4.1 Services

The Platform allows Universities to:

  • Upload and manage student academic records
  • Issue official transcripts upon request
  • Track transcript requests and issuance

4.2 Pricing

  • The basic service is provided free of charge to participating Universities.
  • Additional premium features may be offered under conditional pricing arrangements specific to each University.
  • Any applicable fees will be clearly communicated to Universities before implementation.

5. DATA PRIVACY AND SECURITY

5.1 Data Collection

We collect and process personal data as necessary to provide our services, including but not limited to:

  • University contact information
  • Student academic records
  • Transcript request information

5.2 Data Use

We use the data only for the purposes of:

  • Operating the Platform
  • Issuing transcripts
  • Improving our services
  • Complying with legal obligations

5.3 Data Security

We implement appropriate technical and organizational measures to protect personal data against unauthorized access, alteration, disclosure, or destruction.

5.4 Data Retention

We retain data only for as long as necessary to fulfill the purposes for which it was collected, or as required by applicable laws.

6. UNIVERSITY OBLIGATIONS

Universities using our Platform agree to:

6.1 Data Accuracy

Provide accurate and up-to-date student records and promptly correct any errors when identified.

6.2 Authorization

Obtain all necessary authorizations and consents from students for the sharing and processing of their data through our Platform.

6.3 Compliance

Comply with all applicable laws and regulations relating to academic records, data protection, and privacy in Nigeria.

6.4 Confidentiality

Maintain the confidentiality of access credentials and not share them with unauthorized parties.

7. INTELLECTUAL PROPERTY

7.1 Platform Ownership

The Platform, including all content, features, and functionality, is owned by Chop Life Technologies LTD and is protected by Nigerian and international copyright, trademark, and other intellectual property laws.

7.2 Limited License

We grant Universities a limited, non-exclusive, non-transferable license to use the Platform solely for the purposes set forth in these Terms.

7.3 Restrictions

Universities may not:

  • Copy, modify, or create derivative works of the Platform
  • Reverse engineer, decompile, or disassemble the Platform
  • Remove any copyright or proprietary notices
  • Use the Platform in any way that violates applicable laws or regulations

8. LIMITATION OF LIABILITY

8.1 Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

8.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CHOP LIFE TECHNOLOGIES LTD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OF THE PLATFORM.

8.3 Cap on Liability

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF THE AMOUNT PAID BY THE UNIVERSITY TO US DURING THE 12-MONTH PERIOD PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR N100,000.

9. INDEMNIFICATION

Universities agree to indemnify, defend, and hold harmless Chop Life Technologies LTD and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees ( including reasonable attorneys' fees) arising from or relating to:

  • The University's use of the Platform
  • The University's violation of these Terms
  • The University's violation of any rights of another party
  • The University's violation of applicable laws or regulations

10. TERM AND TERMINATION

10.1 Term

These Terms shall remain in effect until terminated by either party.

10.2 Termination by University

Universities may terminate their use of the Platform at any time by providing written notice to us and closing their account.

10.3 Termination by Us

We may terminate or suspend access to the Platform immediately, without prior notice or liability, for any reason, including if a University breaches these Terms.

10.4 Effect of Termination

Upon termination, all rights and licenses granted to the University will terminate immediately, and the University must cease all use of the Platform.

11. GOVERNING LAW AND DISPUTE RESOLUTION

11.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.

11.2 Dispute Resolution

Any dispute arising out of or in connection with these Terms shall be resolved through:

  • Good faith negotiations between the parties
  • If negotiations fail, through arbitration in Lagos, Nigeria, in accordance with the Arbitration and Conciliation Act

12. AMENDMENTS TO TERMS

We reserve the right to modify these Terms at any time. We will provide notice of any material changes by posting the updated Terms on our Platform and/or by sending an email to the primary contact address associated with each University account. Your continued use of the Platform after such modifications constitutes your acceptance of the revised Terms.

13. GENERAL PROVISIONS

13.1 Entire Agreement

These Terms constitute the entire agreement between the parties regarding the subject matter hereof and supersede all prior or contemporaneous agreements, understandings, and communications, whether written or oral.

13.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

13.3 No Waiver

Our failure to enforce any right or provision of these Terms shall not be considered a waiver of such right or provision.

13.4 Assignment

Universities may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. We may assign these Terms at any time without notice.

13.5 Notices

All notices under these Terms shall be in writing and sent by email to the address provided by the University during registration or to our contact email provided on the Platform.
